Terms and Conditions for Exhibitors, Sponsors, and Vendors

These are the terms (the “Agreement”) that govern your attendance at or participation in The Grow Tradefest event (the “Event”). By registering for the Event you are agreeing to these terms and conditions, which form a legally binding contract between HubX12 LLC (“Event Host”) and any registered exhibitor, sponsor, or vendor ("Exhibitor" or “you”). If you are registering on behalf of another party, it is your responsibility to ensure that such party is aware of these terms and accepts them; by completing the registration you are warranting that you have made the party aware of these terms and that they have accepted these terms.

REGISTRATION REQUIRED. All Exhibitors of the Event must register for the Event and obtain a valid badge, wristband, or other identification credentials required by the Event Host prior to gaining access to the Event.
PAYMENT. Payment for all applicable fees are due at the time of registration. If such payments are not received or are canceled/returned for any reason, your registration is subject to automatic cancellation.
EXHIBITOR PACKET. All registered Exhibitors will receive an "Exhibitor Packet" from the Event Host prior to the Event which will set forth additional information applicable to the Exhibitor, the Event, booth space, sponsorship terms, and any other goods and services provided by the Event Host as well as additional rules and policies of the Event Host and/or Lodge at the Four Seasons LLC (the "Venue").
AGE RESTRICTION. No one under the age of 21 will be permitted to attend or present at the Event under any circumstances.
REFUNDS. IF AN EXHIBITOR CANCELS AT ANY TIME, FOR ANY REASON, THE EXHIBITOR WILL BE RESPONSIBLE FOR THE ENTIRE EXHIBITOR OR SPONSORSHIP PACKAGE FEE. HOWEVER, SHOULD THE EXHIBITOR SECURE A REPLACEMENT COMPANY FOR THEIR EXHIBITOR OR SPONSORSHIP PACKAGE THAT IS SUITABLE TO THE EVENT HOST IN ITS SOLE DISCRETION, THE EVENT HOST WILL ISSUE AN 80% REFUND TO THE ORIGINAL FORM OF PAYMENT AFTER THE REPLACEMENT COMPANY HAS REGISTERED AND PAID IN FULL. PLEASE CONTACT THE EVENT HOST TO MAKE THESE ARRANGEMENTS. THE EVENT HOST IS NOT OBLIGATED IN ANY WAY TO PROVIDE ASSISTANCE WITH SECURING REPLACEMENTS FOR EXHIBITORS OR SPONSORS WISHING TO CANCEL THEIR EXHIBITOR OR SPONSORSHIP PACKAGES AND IS NOT OBLIGATED TO AUTHORIZE ANY REPLACEMENT EXHIBITORS.
FAILURE TO HOLD EVENT. Should the Event Host fail to hold the Event, it shall promptly refund to Exhibitor all sums paid under this Agreement, and such refund shall be accepted by Exhibitor in full settlement of all loss or damage suffered by Exhibitor on account of such failure to hold the Event.
VALID PHOTO IDENTIFICATION REQUIRED FOR CHECK-IN. The credential that the Event Host issues an Exhibitor after Exhibitor presents a valid government-issued photo ID at check-in is herein referred to as “Badge.” To pick up a Badge on-site, Exhibitor must appear in-person and present a government-issued photo ID that matches Exhibitor's legal name.
BADGE MUST REMAIN VISIBLE AT ALL TIMES DURING THE SHOW. Each Exhibitor must visibly display Exhibitor's Badge on Exhibitor's front torso, at all times, without exception.
RESERVATION OF RIGHTS TO ID REGISTRANT. The Event Host reserves the right to request a photo ID to verify that the individual wearing the Badge matches the Badge name.
REPLACEMENT BADGES. Replacement Badges are available for individuals who have not been removed for violating any of the Event's terms and conditions as described herein. The service charge for reprinting a replacement Badge is $25.00, in addition to any amounts already paid. Exhibitor must show a photo ID matching the original registration information.
C. VENDOR SETUP
BOOTH SPACE. Booth space shall be assigned by the Event Host in its sole discretion and shall be as set forth in the Exhibitor Packet provided to Exhibitor. The Event Host reserves the right to make or to change all booth space assignments, the floor plan, schedules, and all other aspects of the Event at any time, as it deems appropriate.
TIMING. Exhibitor shall set up between the hours of 4:00 pm-8:00 pm Thursday, August 26 2021. Storage space is not available due to the layout of the Venue; at the conclusion of the set up period all Exhibitors must remove any packaging, crates, containers, equipment, and trash prior to the opening time of the Event. Tear down of booth space shall be between the hours of 5:00 pm-9:00 pm Saturday August 28, 2021. All belongings and other property MUST be removed by 10:00 am Sunday August 29, 2021. Exhibitor shall comply with all additional timelines set forth in the Exhibitor Packet. Exhibits cannot be dismantled until the Event is over at 5:00 on the last day of the Event. 9. An overtime charge of $100 per hour will apply for any exhibit, merchandise, décor, or other property left at the Exhibitor's booth space after 10:00 am Sunday, August 29, 2021. It is the Exhibitor's sole responsibility to leave the space in its original condition, and the Event Host will charge a trash removal/damage/repair fee of at least $200.00 for any violation of these terms.
EXCLUSIVITY. The Event Host will not offer exclusive rights to any Exhibitor. Exhibitor acknowledges and agrees that the Event Host has the right to rent space to firms, companies, individuals and organizations engaged in similar or competitive business to Exhibitor.
DISPLAYS. Limitations on colors or size of booth furnishings shall be determined by the Event Host and set forth in the Exhibitor Packet. All exhibit decorations and storage shall also be subject to such other rules, regulations, or restrictions as may be prescribed by the Venue. No taping, nailing, or painting is allowed on walls, pillars, floors, or other areas at the Venue. No displays continuing water are permitted at the Event. Motorized vehicles including fork lifts are prohibited by the Venue. Exhibit displays must not obstruct the view of an adjacent booth. All exhibits must be confined to the limits of the Exhibitor's space, as indicated on the diagram contained in the Exhibitor Packet. Motion pictures and other audio-visual demonstrations will be permitted only in those locations and in such sound intensity as, in the opinion of association, do not interfere with the activities of neighboring exhibitors.
QUALITY, CHARACTER, AND CONSTRUCTION OF EXHIBIT. Exhibitor shall cause its exhibit to display its products or services in a tasteful manner as determined by the Event Host in its sole discretion. Exhibitor shall limit its advertising, marketing, and distribution of samples and printed materials of any kind to its own space. The aisles, passageways, and overhead spaces remain strictly under the Event Host's control and no exhibit materials or equipment, including but not limited to signs, decorations, banners, advertising materials, and special exhibits, are permitted in any of these spaces without the Event Host's express, written permission. Exhibitor shall construct its exhibit in conformity with law, the Venue's rules, and any additional and specific rules, set forth in the Exhibitor Packet. Exhibitor shall change or alter its exhibit at the request or instruction of the Event Host or the Venue. The Event Host reserves the right to reject or later remove an exhibit based on, without limitation, Exhibitor's failure to (a) initially construct its exhibit in conformity with all applicable laws, terms, and rules or (b) subsequently obey instructions pertaining to the exhibit's quality, character, or construction. The Event Host reserves the right to restrict or remove any exhibit that the Event Host, in its sole discretion, believes is objectionable or inappropriate. Without limiting the foregoing, Exhibitor is solely responsible for ensuring that its exhibit is accessible to persons with disabilities, as required by the Americans with Disabilities Act and shall indemnify and hold the Event Host harmless from any consequences or liability for any failure by Exhibitor to do so.
D. DURING THE EVENT
DRESS CODE. The Event Host strongly recommends business or business casual attire. Revealing or unkempt attire that would be deemed inappropriate in a standard professional office environment is prohibited.
STAFFING AND DISPLAY: Exhibit booths must be staffed during all hours that the Event is open. In the event the booth space is unoccupied, the Event Host may relocate or cancel Exhibitor's booth without further notice and with no refund or exchange.
EXHIBIT SECURITY. The Event Host does not guarantee or insure that the Event shall be secured always, and the Event Host does not assume any responsibility for the safety of property at the Venue at any time. Exhibitor agrees that it shall be solely responsible for valuables and other possessions at the Event. Exhibitor must provide the necessary safety items to protect attendees, other exhibitors, and all others from equipment that is operable or from any other material, processes, or operations that might cause bodily harm.
INSURANCE. The Exhibitor understands and agrees that neither the Event Host nor the Venue maintains insurance covering the Exhibitor’s liability or property. The Exhibitor is required to carry commercial general liability at limits of at least $1,000,000 (USD) per, $1,000,000 (USD) aggregate and provide proof of such coverage to the Event Host promptly upon request.
NO DISCRIMINATION. Exhibitor will not discriminate against any person in connection with admission to its booth, services rendered or privileges offered, on the basis of race, creed, ancestry, sexual orientation, disability, color, sex, marital status, age, religion or national origin.
USE OF NAME AND LIKENESS. The Event Host may capture Exhibitor's image on video or in photos. Exhibitor hereby irrevocably permits, authorizes, grants, and licenses the Event Host and its affiliates, successors, and assigns, and the employees, officers, directors, and agents of each and all of them ("Authorized Persons"), the rights to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to use Exhibitor's name, image, likeness, and appearance, voice, professional and personal biographical information, and other personal characteristics and private information, and all materials created by or on behalf of the Event Host that incorporate any of the foregoing ("Materials") in perpetuity in any medium or format whatsoever now existing or hereafter create on any platform and for any purpose, including but not limited to advertising, public relations, publicity, packaging, and promotion of the Event Host and its affiliates and their businesses, products, and services, without further consent from or royalty, payment, or other compensation.
WAIVER. To the fullest extent permitted by applicable law, Exhibitor hereby irrevocably waives all legal and equitable rights relating to all liabilities, claims, demands, actions, suits, damages, and expenses, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy (including intrusion, false light, public disclosure of private facts, and misappropriation of name or likeness), violation of rights of publicity, physical or emotional injury or distress, or any similar claim or cause of action in tort, contract, or any other legal theory, now known or hereafter known in any jurisdiction throughout the world (collectively, "Claims") arising directly or indirectly from the Authorized Persons' exercise of their rights under this Agreement or the production, exhibition, exploitation, advertising, promotion, or other use of the Materials, and whether resulting in whole or in part by the negligence of Company or any other person, covenant not to make or bring any such Claim against any Authorized Persons, and forever release and discharge the Authorized Persons from liability under such Claims.
E. PROHIBITED ACTIVITIES AT THE EVENT
CANNABIS USE AND DISTRIBUTION IS PROHIBITED. State and local laws regarding medical cannabis use notwithstanding, Registrant understands that use, possession, and/or distribution of marijuana or cannabis products at the Event are strictly prohibited due to local and Venue regulations and agrees that it will not sell or offer samples of any such products.
ALCOHOL USE AND DISTRIBUTION IS PROHIBITED. Exhibitor shall not sell, offer samples of, or receive donations of liquor at the Event. The Venue explicitly prohibits consumption of liquor not purchased directly from the Venue at the Event, or in any meetings rooms, common areas or other public spaces at the Venue.
PHOTOGRAPHY AND VIDEOGRAPHY IS PROHIBITED. Photography during any speaker session is prohibited unless the photographer is a member of the media and has designated Press Badge issued by the Event Host. Videography is prohibited by all attendees, including those with a designated Press Badge, unless the Event Host consents to such videography in writing.
BADGE PASSING IS PROHIBITED. Registrant is prohibited from passing Registrant's Badge to another individual for use to access any part of the Event. Further, the Event Host will confiscate and deactivate Registrant’s Badge, and Registrant will not be allowed re-entry to the Event without refund.
BOOTH ASSIGNMENT IS PROHIBITED. No Exhibitor may assign his or her or its agreement for BOOTH space or permit any other person to use any part of such space without the prior written consent of the Event Host, which may be withheld for any reason or no reason.
SOLICITATION IS PROHIBITED FOR NON-EXHIBITORS. Solicitation, demonstration, or distribution of promotional materials, products, and services is strictly prohibited unless Registrant has executed an exhibitor contract with the Event Host.
VAPING AND SMOKING. Smoking and vaping of tobacco products is only allowed in designated outdoor areas.
RESERVATION OF RIGHTS TO REMOVE OR DENY ADMISSION. The Event Host reserves the right to deny admission or remove persons at the Event for any reason, including those deemed a risk to the professional atmosphere of the Event. Grounds for denial of admission or for removal include, but are not limited to, any individual who violates any term as set forth herein.
LISTINGS AND PROMOTIONAL MATERIALS. Exhibitor grants the Event Host a fully-paid, perpetual non-exclusive license to use, display, and reproduce Exhibitor's name, trade names, and product names in any directory (print, electronic, or other media) that list the applicants participating at the Event and to use such names in the Event Host's promotional materials as necessary to promote the event, create and distribute products or merchandise, provide any agreed upon sponsor benefits. The Event Host is not liable for any errors or omissions in any Event listings or descriptions.
ORGANIZER MATERIALS. Any materials that are distributed to Exhibitor related to the planning or execution of the Event, including but not limited to, the Exhibitor Packet, are owned exclusively by the Event Host. The Event Host grants Exhibitor a nontransferable, non-exclusive license to use such materials solely in connection with Exhibitor's participation in the Event. If Exhibitor ceases to be an exhibitor at the Event, including at the conclusion thereof, Exhibitor shall promptly destroy all such materials.
USE OF EVENT INSIGNIA. Exhibitor may not reproduce the Event's or the Event Host's logo, name, marks, or other insignia on items, documents or advertising materials, without the Event Host's prior written consent. All uses of the Event Host's marks, and all goodwill associated therewith, shall inure solely to the benefit of the Event Host.
NO REPRESENTATIONS, WARRANTIES OR GUARANTEES. The Event Host gives no warranties in respect of any aspect of the Event or any materials related thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, timeliness, and merchantability. The Event is provided on an “as-is” basis. Neither the Event Host nor its affiliates accept any responsibility or liability for reliance by you or any person on any aspect of the Event or any information provided at the Event.
DAMAGE LIMITATION. Except as required by law, neither the Event Host nor its affiliates shall be liable for any direct, indirect, special, incidental, or consequential costs, damages, or losses arising directly or indirectly from the Event, or any other aspect related thereto or in connection with this Agreement.
LIMITATION OF LIABILITY. IN NO EVENT SHALL ORGANIZER OR VENUE OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, REPRESENTATIVES, AFFILIATES AND ASSIGNEES BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH THEIR ACTS OR OMISSIONS OR ANY BREACH OF THIS AGREEMENT, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT ORGANIZER OR THE VENUE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. IN NO EVENT SHALL ORGANIZER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO ORGANIZER PURSUANT TO THIS AGREEMENT. CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT MUST BE MADE IN WRITING WITHIN THIRTY DAYS AFTER THE LAST DAY OF THE EVENT, AND FAILURE TO GIVE SUCH NOTICE SHALL CONSTITUTE A WAIVER OF ANY CLAIMS.
INDEMNIFICATION. Exhibitor shall indemnify, hold harmless, and defend the Event Host and its officers, directors, employees, agents, affiliates, successors and permitted assigns (collectively, "Indemnified Party") against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, that are incurred by Indemnified Party (collectively, "Losses"), arising out of or resulting from (a) injury to the person, property, or business of any person in connection with Exhibitor's conduct of its exhibit, (b) Exhibitor's construction or maintenance of an unsafe exhibit, (c) any act, omission, negligence, fault, violation of law or ordinance, or misconduct of Exhibitor, its employees, subcontractors, invitees or agents, or any breach by Exhibitor of any agreements, covenant, promises or other obligations under this Application and Agreement, (d) Exhibitor's participation or presence at the Event and/or use of any of the Event facilities, (e) Any claim brought by any of its employees, agents, contractors, or invitees against an Indemnified Party in connection with such activity, or (f) Exhibitor's actual or alleged infringement of the patent, trademark, copyright, or any other intellectual property rights of a third party including any claim resulting from the use of copyrighted music, dramatic materials, or other property which is used by Exhibitor in connection with the Event.
MISCELLANEOUS. The Event Host's failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. The Event Host may adopt, amend, or revoke any established rules and regulations from time to time, on reasonable notice to Exhibitor. Any such rules or regulations, including but not limited to those in the Exhibitor Packet or any communication from the Event Host to Exhibitor are hereby incorporated in this Agreement and have the same effect as if set forth herein. This Agreement, including but not limited to the Event Manual and any additional rules or regulations adopted by the Event Host, states the entire agreement between the parties and may not be amended without the Event Host's written consent. The Event Host shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond the Event Host's reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sub-licensable by you without the prior written consent of the Event Host. This Agreement shall be governed by the laws of the State of Missouri, and the parties shall submit to the exclusive jurisdiction of the courts of the State of Missouri sitting in St. Louis County. A party that substantially prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys’ fees and costs incurred by such party in the action. This Agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing, signed by both parties, except as otherwise provided herein.
